When placing your order Image Marketing Ltd require a non-refundable payment of 50% of the initial quote. |

On completion of the site we will then issue our invoice for the remaining balance of the order, which shall be payable immediately. |

Failure to pay on time will result in interest being added to the amount owed, [at a simple rate of 8% per annum] with such interest accruing at a daily rate. |

The website design, remains the property of Image MarketingLtd until the balance on the customers account has been cleared in full. |

|
| 5. |
The code for the site will be released to the client only after final payment has been made. |
|
|
| 6. |
If a job extends for longer than the estimated times or develops in a way which increases costs or times scales, then staggered payments may be implemented until completion. |

| 7. |
After receipt of the initial deposit Image Marketing Ltd will, if required, register the requested domain name with the client's details and commence the design work of a layout for the site. |

| 8. |
If a layout is totally against a clients wishes Image marketing Ltd will design an alternative, this being limited to two such layouts. |

| 9. |
The whole design process will take no longer than 14 working days. We will have a proof layout for your approval within 7 working days of receiving your order. We will advise you where this layout may be inspected on a temporary site on the Internet. |

On completion of the site we will then issue our invoice for the remaining balance of the order, which shall be payable within 14 days. |

All drawings, logos and photographs may be sent electronically, as an attachment to an email. Photographs must be in JPEG format with logos in PSD format. Please bear in mind that a poor photographical image will result in a poor scanned image, so please send the best photographs possible. |

The client agrees to allow Image Marketing Ltd to place a discrete link to http://www.bargainwebsite.co.uk at the foot of the clien't web site page. |

| 13. |
If you have opted for Image Marketing Ltd to maintain your site then Image Marketing Ltd will invoice you annually, at the commencement of the management period, for the management fee which will be payable within 14 days. |

| 14. |
The web site will consist of HTML code designed to render on Web Standards compliant browsers when hosted on an internet server and allocated to a unique internet address (URL) . The design may be obtained under license from a third party and sub-licensed to the client. |

| 15. |
Image Marketing Ltd reserves the right to refuse to construct a web site which it judges as unfit due to content or otherwise. This includes, but is not limited to, sites containing adult oriented material such as pornography, sites which promote hatred towards persons belonging to any ethnic group, religion or sexual orientation and sites which infringe copyright or are contrary to UK laws. |

All material, both text and images, supplied by the client and used in the construction of the client's web site, will remain the client's property. All such material will be assumed to be the property of the client and free to use without fear of breach of copyright laws. The client agrees to indemnify Image Marketing Ltd against claims for breach of copyright where this is not the case. |

Copyright of the content of the site passes to the client only on full payment of the agreed fee for completion of the site. |
|
|
| 18. |
Copyright of the coding and any program created to display the content of the site remains with Image Marketing Ltd. |
|
|
| 19. |
Where the web site is to be hosted on a server other than under the direct control of Image Marketing Ltd the client undertakes to supply all necessary information to allow access to the server sufficient to upload files, configuration of the presentation and management of the site where the client has opted for management by Image Marketing Ltd. |

| 20. |
Whilst Image Marketing Ltd shall make every endeavour to replicate specified colours and font styles it offers no guarantee as to their precise rendering on all internet devices and browsers. |

| 21. |
At any point during the web site development process a client may cancel. In which case Image Marketing Ltd reserves the right to charge the client an amount that it judges to be proportional to the amount of work completed on the commission. |

| 22. |
If, during the web site development process, the client does not supply the content required in order to complete the commission within a reasonable amount of time the commission will be regarded as cancelled and charges will be made as in clause 14. |

23. Image Marketing Ltd will endeavour to respect previously agreed completion dates but will not be held liable for any losses incurred by its failure to complete by any given date. |

Image Marketing Ltd is VAT registered. |
